  1. Introduction
    By registering as a wholesale buyer, you agree to comply with the following terms and conditions.
  2. Eligibility
    • Must be a registered business entity or verified reseller.
    • THIMA Ceylon reserves the right to verify credentials before approval.
  3. Product Sourcing and Inventory
    • THIMA Ceylon sources and maintains inventory for wholesale buyers.
    • Buyers must ensure product specifications and documentation are accurate for import compliance.
  4. Order Placement and Fulfillment
    • Orders must be placed via THIMA Ceylon’s wholesale portal.
    • Payment must be completed at order placement unless otherwise agreed.
    • Fulfillment, packaging, and shipping are handled by THIMA Ceylon.
  5. Pricing and Payment Terms
    • Wholesale pricing applies to bulk orders.
    • Payment terms: Net 30–60 unless otherwise agreed.
    • All payments must be made in the agreed currency.
  6. Shipping and Returns
    • Standard and expedited shipping available.
    • Costs calculated by volume and destination.
    • Returns accepted within 7 days of delivery, subject to return guidelines.
  7. Confidentiality and Data Protection
    • Both parties must maintain confidentiality of shared information.
    • Customer data must comply with applicable data protection laws.
  8. Intellectual Property Rights
    • All product-related IP remains with THIMA Ceylon.
    • Buyers may not alter branding or trademarks without approval.
  9. Limitation of Liability
    • Liability limited to the value of supplied products.
    • No responsibility for indirect or consequential damages.
  10. Governing Law
    • Governed by Sri Lankan commercial law.
    • International disputes may be resolved through arbitration.

Sell with THIMA Ceylon

  1. Introduction
    By registering as a global partner, you agree to comply with the following terms and conditions.
  2. Eligibility
    • Innovators, producers, distributors, retailers, resellers, and agents with verified credentials.
    • THIMA Ceylon reserves the right to review and approve applications.
  3. Product Listing and Promotion
    • Partners may list products via THIMA Ceylon’s platform.
    • Listings must be accurate and updated regularly.
    • Marketing activities require prior approval.
  4. Profit-Sharing Models
    • Commission-based (10–20% per transaction).
    • Revenue sharing (quarterly based on category sales).
    • Tiered incentives (bonus commissions at performance milestones).
    • Wholesale pricing (buy and resell with markup).
  5. Payment Terms
    • Flexible commission and revenue-sharing structures.
    • Payments made in agreed currency and schedule.
  6. Branding and Marketing
    • Partners may use THIMA Ceylon’s branding materials.
    • Co-branded campaigns and seasonal promotions available.
    • Unauthorized use of trademarks/logos prohibited.
  7. Confidentiality and Data Protection
    • Both parties agree to confidentiality of shared business data.
    • Customer data must comply with international data protection laws.
  8. Intellectual Property Rights
    • All IP rights remain with THIMA Ceylon.
    • Partners granted limited license for approved marketing.
  9. Term and Termination
    • Agreement effective upon acceptance.
    • Either party may terminate with 30 days’ written notice.
    • Immediate termination possible for fraud or non-compliance.
  10. Limitation of Liability
    • Liability limited to value of supplied products/services.
    • No responsibility for indirect or consequential damages.
  11. Governing Law
    • Governed by Sri Lankan law.
    • Arbitration available for international disputes.
  12. Changes to Terms
    • THIMA Ceylon reserves the right to update terms.
    • Changes communicated via email or platform notifications.
